PLEASE READ THESE CUSTOMER TERMS OF SERVICE CAREFULLY

This is a contract between you (the Customer) and us (Fundz). The Fundz website is comprised of various web pages & software operated by FUNDZ, LLC. The Fundz website is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Fundz website constitutes your agreement to all such terms, conditions, and notices.

FUNDZ SUBSCRIPTION

All customer subscriptions are for a minimum of one year. Your subscription will renew automatically each year unless you cancel in the application's account section, prior to the renewal date. You may choose to cancel your subscription anytime before renewal provided that, we will not provide any refunds of prepaid fees or unused subscription fees.

PERMITTED USE

You are granted a limited, non-exclusive, non-transferable right to access and use the Fundz platform, its data, and related materials solely for your own personal or internal business purposes. You may view, search, and download limited portions of data as reasonably necessary to support your internal sales, marketing, or research activities. Any other use is strictly prohibited unless expressly authorized in writing by Fundz.

PROHIBITED USE – RESALE AND DISTRIBUTION

You may not, without our prior written consent, reproduce, distribute, resell, sublicense, publish, scrape, harvest, or otherwise make available any portion of the Fundz platform, its content, or data to any third party. This prohibition includes, but is not limited to, exporting or downloading data for the purpose of creating a competing product or service, reselling or redistributing data to others, or using the Service in any manner outside of your own internal business purposes. Any unauthorized use constitutes a material breach of these Terms and may result in immediate suspension or termination of your account, legal action, and liability for damages.

CUSTOMER DATA

You retain all rights, title, and interest in and to any data, content, or information you provide to Fundz in connection with your use of the Service ("Customer Data"). By submitting Customer Data, you grant Fundz a worldwide, non-exclusive, royalty-free license to host, store, process, and display such data solely as necessary to provide the Service. Fundz does not claim ownership of Customer Data. You are responsible for ensuring that your Customer Data complies with all applicable laws.

INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Fundz platform, including all data generated by Fundz, software, text, graphics, logos, and other content, are owned by or licensed to Fundz, LLC. Except for the limited rights expressly granted herein, no license or other rights are granted to you. Unauthorized use may violate copyright, trademark, and other laws.

THIRD PARTY DATA

The Fundz website provides data retrieved from third party services, including, but not limited to, the United States Securities and Exchange Commission's website. As such, FUNDZ LLC MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE DATA MADE AVAILABLE.

LINKS TO THIRD PARTY SITES

The Fundz website may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of FUNDZ, LLC and FUNDZ, LLC is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. FUNDZ, LLC is not responsible for webcasting or any other form of transmission received from any Linked Site. FUNDZ, LLC is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by FUNDZ, LLC of the site or any association with its operators.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Fundz website, you warrant to FUNDZ, LLC that you will not use the Fundz website for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Fundz website in any manner which could damage, disable, overburden, or impair the Fundz website, or interfere with any other party's use and enjoyment of the Fundz website. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Fundz website.

DISCLAIMER OF WARRANTIES

WE AND OUR AFFILIATES AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY OR ACCURACY OF THE SUBSCRIPTION SERVICE, DATA MADE AVAILABLE FROM THE SUBSCRIPTION SERVICE, FUNDZ CONTENT, APPLICATION PROGRAMMING INTERFACES (APIs), OR THAT THE SERVICE WILL BE AVAILABLE AT ALL TIMES. TO THE EXTENT PERMITTED BY LAW, THE SUBSCRIPTION SERVICE, FUNDZ CONTENT AND CONSULTING SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO THE SUBSCRIPTION SERVICE, AND THE DATA PROVIDED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES. FUNDZ’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS IS LIMITED TO THE FEES YOU HAVE PAID TO FUNDZ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

TERMINATION, SUSPENSION FOR PROHIBITED ACTS

We may suspend or terminate any User's access to the Subscription Service for: (i) use of the Subscription Service in a way that violates applicable local, state, federal, or foreign laws or regulations; (ii) use in violation of these Terms; or (iii) other activity that, in our sole discretion, poses a risk to Fundz, its systems, or its customers. Upon termination, you remain responsible for all fees and charges incurred prior to termination.

FORCE MAJEURE

Fundz shall not be liable for any failure or delay in performance resulting from any event beyond its reasonable control, including acts of God, natural disasters, internet outages, labor disputes, governmental actions, or failures of third-party service providers.

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.

MISCELLANEOUS

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision. These Terms constitute the entire agreement between you and Fundz with respect to your use of the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Fundz.

MODIFICATION OF THESE TERMS OF USE

FUNDZ, LLC reserves the right to change the terms, conditions, and notices under which the Fundz website is offered. Any changes will be effective when posted, and continued use of the Service after such posting constitutes your acceptance of the modified Terms.
