Terms of Service

Please read these Customer Terms of Service carefully

This is a contract between you (the Customer) and us (Fundz). The Fundz website is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein.

1. Fundz Subscription

Your Fundz subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time before the next renewal to avoid being charged for the upcoming period. Prepaid fees are non-refundable. No refunds or credits will be issued for partial billing periods, downgrades, or unused time remaining in your subscription.

2. Customer Data

You retain all rights, title, and interest in and to your customer data. By using the Service, you grant Fundz a worldwide, non-exclusive license to host, store, and process your data solely for the purpose of providing the Service to you. Fundz does not claim ownership of any content or data you submit to the platform.

3. Intellectual Property

All content, features, and functionality of the Fundz service, including but not limited to text, graphics, logos, software, and underlying technology, are owned by Fundz, LLC and are protected by intellectual property laws. No license or right is granted to you except as expressly stated in these Terms. Unauthorized use, reproduction, or distribution of Fundz materials may violate copyright, trademark, and other applicable laws. Fundz's compiled and entity-resolved datasets — including signals matched to specific companies, such as office-expansion permits and trademark filings — are proprietary works of Fundz. Except under a separate written data-licensing agreement, you may not resell, redistribute, scrape, or use Fundz data or API output to build, train, or improve a competing product, dataset, or model.

4. Third Party Data

Fundz incorporates data from third-party sources, including the U.S. Securities and Exchange Commission (SEC) and other public and commercial data providers. FUNDZ MAKES NO WARRANTIES, EXPRESS OR IMPLIED, ABOUT THE SUITABILITY, RELIABILITY, TIMELINESS, OR ACCURACY OF THIRD-PARTY DATA FOR ANY PURPOSE. You acknowledge that third-party data is provided "as available" and that Fundz is not responsible for errors, omissions, or delays in such data.

5. Links to Third Party Sites

The Fundz service may contain links to websites operated by third parties. Fundz is not responsible for the content, privacy policies, or practices of any linked third-party websites. These links are provided solely for your convenience and do not imply endorsement by Fundz.

6. No Unlawful or Prohibited Use

As a condition of your use of the Fundz service, you agree not to use the service for any purpose that is unlawful or prohibited by these Terms. You may not use the service in any manner that could damage, disable, overburden, or impair the Fundz servers or networks, or interfere with any other party's use and enjoyment of the service.

7. Disclaimer of Warranties

THE FUNDZ SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. FUNDZ DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FUNDZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

8. Limitation of Liability

IN NO EVENT SHALL FUNDZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF FUNDZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FUNDZ'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO FUNDZ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Termination

Fundz may suspend or terminate your access to the Service at any time, with or without notice, for violations of these Terms, illegal use, or any activity that poses a risk to Fundz, its users, or its infrastructure. Upon termination, your right to use the Service ceases immediately. Any fees owed at the time of termination remain due and payable.

10. Force Majeure

Fundz shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond Fundz's reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemics, power failures, internet disruptions, or other force majeure events.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

12. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The failure of Fundz to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and Fundz regarding the use of the Service and supersede all prior agreements and understandings.

13. Modification of Terms

Fundz reserves the right to change or modify these Terms at any time at its sole discretion. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms of Service.
