On February 28, 2023, Brian W Brady Trust No 1 (the "Acquiror") acquired 20,000,000 units (the "Units") of Cansortium Inc. (the "Issuer") pursuant to a non-brokered private placement. Each Unit is comprised of one common share in the capital of the Issuer (a "Common Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the Acquiror to purchase one Common Share at an exercise price of US$0.15 per Common Share for a period of 36 months following the date of issuance.
